1. Acceptance of Terms
By accessing or using the AfterJob platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and AfterJob Inc. ("AfterJob," "we," "our," or "us"). We may modify these Terms at any time. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.
2. Eligibility
To use AfterJob, you must: • Be at least 18 years of age • Be legally able to enter into binding contracts • Not be prohibited from using the Service under applicable laws • Provide accurate and complete registration information • Maintain the security of your account credentials **Business Accounts:** If you are using AfterJob on behalf of a business, you represent that you have authority to bind that business to these Terms. **Account Responsibility:** You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.
3. Platform Description
AfterJob is a freelance marketplace that connects clients seeking services with freelancers offering their skills. **Our Role:** • We provide the platform infrastructure • We facilitate communication between users • We facilitate payments (platform fee; escrow or direct payment to freelancer, as chosen) • We do NOT employ freelancers • We do NOT guarantee work quality or completion **User Types:** • **Clients:** Users who post jobs and hire freelancers • **Freelancers:** Users who offer services and apply for jobs **No Employment Relationship:** AfterJob does not create any employment, partnership, or agency relationship between users or between users and AfterJob.
4. User Obligations
**All Users Must:** • Provide accurate information • Comply with all applicable laws • Respect intellectual property rights • Maintain professional conduct • Not engage in fraudulent activities **Clients Must:** • Clearly describe job requirements • Pay agreed-upon amounts for completed work • Provide timely feedback and approvals • Not request work outside the agreed scope without additional payment **Freelancers Must:** • Accurately represent skills and experience • Deliver work as agreed • Meet deadlines or communicate delays promptly • Not subcontract work without client consent • Maintain confidentiality of client information
5. Payments & Fees
**Payment Options:** **Direct Payment (client pays freelancer directly):** • When this option is chosen, the client pays only the platform fee to AfterJob (e.g. via PayPal). • The amount owed to the freelancer is paid by the client directly to the freelancer (e.g. cash, bank transfer, or as agreed), including after the client approves the work. • AfterJob does not collect, hold, or disburse the freelancer amount in this case. The client is solely responsible for paying the freelancer as agreed. **Escrow (when offered):** • Clients may fund escrow when accepting a proposal; funds are held securely until work is approved. • Funds are released to the freelancer upon client approval. • Disputes are handled through our resolution process. **Platform Fees:** • AfterJob charges a platform fee. When using direct payment, the client pays this fee to the platform; the fee is non-refundable once paid as per these Terms. • Current fee structure is displayed during transactions; fees may change with notice. • For **PayPal** payments of the platform fee only (direct payment flow), if the percentage-based fee would be below **$1.00 CAD**, AfterJob charges **$1.00 CAD** as the platform fee so that PayPal can process the payment reliably. **Payment Processing:** • Platform fees may be processed via PayPal (or other methods we support). • Freelancers may connect a valid payment account for receiving direct payments. • Processing times and currency conversion depend on the method used. **Taxes:** • Users are responsible for their own tax obligations. • AfterJob may withhold taxes as required by law; tax documents will be provided as required.
6. Escrow & Dispute Resolution
**Escrow (when used):** • When the escrow option is used, funds are held in escrow until work is completed and released upon mutual agreement or dispute resolution. • Direct payment contracts do not use escrow; payment to the freelancer is made directly by the client. **Dispute Process:** 1. Users should first attempt to resolve issues directly 2. If unresolved, either party may open a dispute 3. AfterJob will review evidence from both parties 4. A resolution will be provided within 14 business days **Dispute Outcomes:** • Full release to freelancer • Full refund to client • Partial release/refund • Decision is binding **Chargebacks:** • Fraudulent chargebacks may result in account suspension • Users agree to cooperate in chargeback investigations
7. Intellectual Property
**Work Product:** • Upon full payment, clients receive agreed-upon rights to work product • Specific IP terms should be defined in the contract • Freelancers retain rights to pre-existing materials unless agreed otherwise **Platform Content:** • AfterJob owns all platform content, design, and functionality • Users may not copy, modify, or distribute platform content • User content remains owned by the user **License to AfterJob:** • You grant AfterJob a license to display your content on the platform • This includes profiles, portfolios, and job postings • License is non-exclusive and revocable upon account deletion
8. Prohibited Conduct
Users may NOT: **Fraud & Deception:** • Create fake accounts or profiles • Misrepresent qualifications or work history • Submit fraudulent payment information • Engage in money laundering **Platform Abuse:** • Circumvent the platform to avoid fees • Spam or send unsolicited messages • Scrape or harvest user data • Interfere with platform operations **Harmful Content:** • Post illegal, offensive, or harmful content • Harass, threaten, or discriminate against others • Share malware or malicious code • Violate others' privacy **Competitive Activities:** • Recruit users to competing platforms • Solicit users for off-platform transactions Violations may result in account suspension or termination.
9. Account Suspension & Termination
**User-Initiated:** • You may close your account at any time • Outstanding obligations must be fulfilled • Some data may be retained as required by law **AfterJob-Initiated:** • We may suspend or terminate accounts for violations • We may suspend accounts under investigation • Termination may be immediate for serious violations **Effects of Termination:** • Access to the platform is revoked • Pending transactions will be resolved • Earned funds will be released per our policies • Some Terms survive termination **Appeals:** • Users may appeal termination decisions • Appeals must be submitted within 30 days • Decisions on appeals are final
10. Disclaimers & Limitations
**Service Provided "As Is":** AfterJob is provided without warranties of any kind, express or implied. **No Guarantee:** • We do not guarantee job availability • We do not guarantee freelancer quality • We do not guarantee payment collection • We do not guarantee platform availability **Limitation of Liability:** To the maximum extent permitted by law: • AfterJob is not liable for indirect, incidental, or consequential damages • Our total liability is limited to fees paid in the past 12 months • We are not liable for user conduct or content **Indemnification:** You agree to indemnify AfterJob against claims arising from: • Your use of the Service • Your violation of these Terms • Your violation of third-party rights
11. Governing Law & Disputes
**Governing Law:** These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles. **Dispute Resolution:** • Disputes should first be addressed through our support team • If unresolved, parties agree to mediation • Litigation may proceed in courts of Quebec, Canada **Class Action Waiver:** You agree to resolve disputes individually and waive the right to participate in class actions. **Time Limitation:** Claims must be brought within one year of the cause of action.
12. General Provisions
**Entire Agreement:** These Terms, along with our Privacy Policy, constitute the entire agreement between you and AfterJob. **Severability:** If any provision is found unenforceable, the remaining provisions remain in effect. **Waiver:** Failure to enforce any right does not waive that right. **Assignment:** You may not assign your rights under these Terms. AfterJob may assign its rights. **Force Majeure:** AfterJob is not liable for failures due to circumstances beyond our control. **Notices:** Notices will be sent to the email address on your account.
